GifTalk is a service provided by ANGEL PLATFORMS Inc. These terms apply to all users ("Users") of the GifTalk service offered on the ANGEL PLATFORMS website ("GifTalk" [https://giftalk.co/]) from the moment they start using GifTalk.
ANGEL PLATFORMS makes every effort to ensure that all information, articles, headlines, charts, photographs, and software (hereinafter referred to as "Content") provided through GifTalk are lawful, accurate, timely, and suitable for users' needs, and that there are no defects, errors, or malfunctions in the provision of Content, and that software provided through GifTalk will be promptly corrected if defects or bugs occur.
However, ANGEL PLATFORMS does not guarantee these aspects to the users and shall not be responsible for any damage suffered by users due to the use of GifTalk or related damages.
Users may purchase and send paid messages ("Super Chats") to other users on GifTalk.
The fees for Super Chats are determined by ANGEL PLATFORMS and displayed on the GifTalk interface before purchase.
All purchases of Super Chats are final and non-refundable, regardless of the reason.
Super Chats may be purchased using credit card payments or other payment methods accepted by ANGEL PLATFORMS.
Upon successful payment, the purchased Super Chat amount will be made available for immediate use within the service.
ANGEL PLATFORMS does not support recurring payments for Super Chats, and each purchase must be made separately.
GifTalk is intended only as a venue for posting general information for entrepreneurs and a function to facilitate encounters between entrepreneurs and investors.
Entrepreneurs cannot use ANGEL PLATFORMS services for the purpose of soliciting or offering shares or other securities and cannot post content on GifTalk for the purpose of soliciting shares or other securities.
GifTalk does not handle solicitations or offerings of shares or other securities. If information exchange beyond the content of registered information becomes necessary as a result of user-to-user contact, users must conduct such information exchange outside of GifTalk and shall not use GifTalk for such information exchange.
If ANGEL PLATFORMS determines that an entrepreneur has violated the provisions of the previous two paragraphs by soliciting or offering shares or other securities on GifTalk, or has engaged in other acts that may contravene other laws, ANGEL PLATFORMS may suspend the user's account or prohibit the use of all or part of GifTalk's functions without notice.
ANGEL PLATFORMS prohibits users from engaging in or potentially engaging in the following activities on GifTalk:
The copyrights, trademark rights, and other intellectual property rights related to the Content belong to ANGEL PLATFORMS or the providers of the information. The copyrights, trademark rights, and other intellectual property rights related to GifTalk as a collection of individual Content also belong to ANGEL PLATFORMS.
Therefore, users may not reproduce, copy, publish, broadcast, transmit to the public, or engage in other acts that infringe copyrights without the prior consent of ANGEL PLATFORMS, nor can they allow third parties to do so.
Understanding that the internet is used across national borders, users must comply with the laws and regulations of the countries and regions where they use the service.
If a user violates these terms, ANGEL PLATFORMS may suspend or prohibit the use of GifTalk by the user.
Furthermore, ANGEL PLATFORMS may claim from the user an amount equal to either the profit gained by the user due to the violation or the damage suffered by ANGEL PLATFORMS, whichever is greater.
There may be links to other websites or resources on GifTalk, or third parties may provide links to other websites or resources. These sites and resources are managed by their respective operators, and ANGEL PLATFORMS does not have the right or obligation to manage them.
Therefore, ANGEL PLATFORMS does not guarantee their availability or the information, advertisements, products, or services on these sites and resources, and is not responsible for any damage incurred by the user due to their use.
Users may link to GifTalk except in the following cases:
Users may quote articles from the site only if the source is clearly and easily identifiable as GifTalk.
If you wish to repost articles, you must apply to GifTalk here and obtain permission by specifying the content and method of use.
ANGEL PLATFORMS may change these terms without prior notice to users or obtaining their prior consent. By using GifTalk after the changes to the terms, users are deemed to have accepted the content of the changed terms.
ANGEL PLATFORMS may change the content of GifTalk or suspend or discontinue its provision without prior notice to users or obtaining their prior consent.
ANGEL PLATFORMS is not responsible for any damage incurred by users due to such changes or suspension or discontinuation of provision.
Information about users' personal information and usage of the service obtained through GifTalk will be handled in accordance with ANGEL PLATFORMS' privacy policy and laws and regulations on personal information protection.
Multiple advertisements (banners, text ads, etc.) are displayed on GifTalk. GifTalk considers advertising revenue as an important source of income and provides certain slots to advertisers who understand and are interested in its content and services.
The design of pages on GifTalk is based on the assumption of displaying such advertising slots. Please check the privacy policy of the destination site when users click on banners or other advertisements and are directed to another site. ANGEL PLATFORMS is not responsible for these destination sites.
These terms are governed by and construed in accordance with the laws of Japan, and any disputes related to GifTalk and these terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
